As an authorized affiliate (“Affiliate”) of Sit Down! Games (“Sit Down! Games”, “we”, “us”, “our”), you agree to abide by the terms and conditions contained in this Affiliate Program Agreement (“Agreement”). Please read the entire Agreement carefully before registering and promoting Sit Down! Games as an Affiliate.
Your participation in the Affiliate Program (“Program”) is solely to legally advertise our website and products in order to receive a commission on eligible memberships and products purchased by individuals referred to Sit Down! Games by your own website, communication channels or personal referrals.
By signing up for the Sit Down! Games Affiliate Program, you indicate your acceptance of this Agreement and its terms and conditions.
1. Approval or Rejection of the Application
We reserve the right to approve or reject any Affiliate Program application at our sole and absolute discretion.
You will have no legal recourse against us for the rejection of your Affiliate Program application.
2. Commissions
2.1 Commission rate
The standard commission rate is 30% of the net sales amount (excluding taxes, shipping, discounts, refunds, chargebacks and payment processing fees), unless otherwise agreed in writing.
2.2 Attribution window and tracking
Affiliate commissions are attributed when a customer completes a qualifying purchase after having used your unique affiliate link or tracking method within a tracking window of 60 days from the initial referral, unless otherwise stated.
Unless specified otherwise in our Program settings, commissions are credited to the [first or last] affiliate whose tracking link was used before the purchase (as defined in the technical settings of our affiliate software).
2.3 Eligibility and active accounts
Commissions will be paid once a month. For an Affiliate to receive a commission, the referred account must remain active and in good standing for a minimum of 31 days.
You cannot refer yourself, and you will not receive a commission on your own accounts or purchases made using your own affiliate links.
2.4 Completed transactions only
Payments will only be sent for transactions that have been successfully completed.
Transactions that result in chargebacks, refunds, cancellations or suspected fraud will not be paid out, or may be reversed from your commission balance.
2.5 Minimum payout and payment schedule
A minimum balance of 50 EUR in approved commissions is required before a payout is issued. If your balance is below 50 EUR at the payout date, it will be carried over to the next month.
Payouts are made in EUR, on the first business day of each month, by the payment methods indicated in the Program interface (for example: bank transfer, Stripe, PayPal, or store credit). Any transaction fees charged by the payment provider may be deducted from the payout amount.
2.6 Taxes and reporting
You are solely responsible for reporting and paying any taxes due on commissions paid to you under this Program, in accordance with the laws of your jurisdiction.
3. Termination
Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons, including but not limited to:
- Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
- Spamming (mass email, mass newsgroup posting, unsolicited messages, etc.).
- Advertising on sites containing or promoting illegal activities, hate, violence or adult content.
- Failure to clearly disclose the affiliate relationship for any promotion that qualifies as an endorsement under applicable regulations (including Federal Trade Commission guidelines, EU rules and any applicable local laws).
- Violation of intellectual property rights. Sit Down! Games reserves the right to require license agreements from those who employ Sit Down! Games trademarks or copyrighted materials in order to protect our intellectual property rights.
- Offering rebates, coupons, cash-back or any other form of promised kick-backs directly from your affiliate commission as an incentive to purchase. Adding bonuses or bundling your own products with Sit Down! Games products is acceptable provided it does not mislead customers.
- Self-referrals, fraudulent transactions, use of bots or scripts, cookie stuffing, or suspected Affiliate fraud.
In addition to the foregoing, Sit Down! Games reserves the right to terminate any Affiliate account at any time, with or without cause, and with or without prior notice.
3.1 Effect of termination on commissions
- If your account is terminated for violation of this Agreement or for suspected fraud, all unpaid and pending commissions may be forfeited at our sole discretion.
- If your account is terminated without cause or upon your request, approved commissions accrued up to the termination date and above the minimum payout threshold will be paid according to the regular payout schedule.
4. Affiliate Links and Promotion
You may use graphic and text links on your website, social media, newsletters and within your email messages. You may also advertise the Sit Down! Games site in online and offline classified ads, magazines and newspapers, provided you comply with this Agreement and with applicable laws.
You may use the graphics and text provided by us, or you may create your own, as long as they are accurate, not misleading, and comply with the rules in the Termination section and any brand guidelines we may provide.
5. Coupon and Deal Sites
Sit Down! Games occasionally offers coupons to select affiliates and to our newsletter subscribers. If you are not pre-approved or assigned a branded coupon, then you are not allowed to promote that coupon.
The following terms apply for any affiliate who promotes our products in relation to a deal or coupon:
- You may not use misleading text on affiliate links, buttons or images to imply that coupons or discounts are available when they are not.
- You may not bid on phrases such as “Sit Down! Games coupons”, “Sit Down! Games discounts” or other similar terms implying coupons are available, unless expressly authorized.
- You may not generate pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set affiliate cookies unless the user has clearly expressed an intent to activate a specific savings by clicking on a clearly marked link, button or image for that particular coupon or deal.
- Users must be able to see coupon/deal/savings information and details before an affiliate cookie is set. “Click here to see coupons and open a window to merchant site” when no coupon is present is not allowed.
- You may not use “Click for (or to see) Deal/Coupon” or any variation when there are no valid deals or coupons available. Affiliates violating this rule may be removed from the Program immediately.
6. Pay Per Click (PPC) Policy
PPC bidding on our brand terms or related terms is not allowed without prior written permission from Sit Down! Games.
If permission is granted, additional PPC rules will apply as communicated separately.
7. Compliance, Disclosures and Data Protection
7.1 Affiliate disclosures
You agree to comply with all applicable laws and regulations regarding endorsements and advertising, including but not limited to the U.S. Federal Trade Commission (FTC) guidelines, EU regulations and any local consumer-protection rules.
You must clearly disclose your affiliate relationship in a visible and understandable manner wherever you promote our products (for example, using a statement such as: “This post contains affiliate links from Sit Down! Games. If you purchase through these links, I may earn a commission at no additional cost to you.”).
7.2 Privacy and data protection (including GDPR)
We may process limited personal data related to your affiliate account (such as name, contact details, payout information and performance statistics) for the purpose of operating the Program and fulfilling our contractual obligations.
We will handle such data in accordance with our Privacy Policy and applicable data protection laws, including the EU General Data Protection Regulation (GDPR) where applicable. By participating in the Program, you agree to this processing and you undertake to comply with data-protection laws when handling any personal data you might receive from us.
8. Liability
Sit Down! Games will not be liable for indirect, incidental, special or consequential damages (including loss of revenue or commissions) arising out of or related to the Program, affiliate tracking failures, loss of database files, or any results of intentional or accidental harm to the Program and/or our websites.
We do not make any expressed or implied warranties with respect to the Program and/or the memberships or products sold by Sit Down! Games. We do not warrant that the operation of the Program and/or our websites will be uninterrupted or error-free, and we will not be liable for any interruptions or errors.
9. Term of the Agreement and Modifications
The term of this Agreement begins upon your acceptance into the Program and will end when your Affiliate account is terminated, either by you or by us.
We may modify the terms and conditions of this Agreement at any time. If any modification is unacceptable to you, your only option is to terminate your Affiliate account. Your continued participation in the Program after any modification will constitute your acceptance of the changes.
10. Indemnification
You agree to indemnify, defend and hold harmless Sit Down! Games, its affiliates and subsidiary companies, officers, directors, employees, agents, licensees, successors and assigns, including those authorized by Sit Down! Games to transmit and distribute materials, from and against any and all liabilities, damages, fines, judgments, claims, costs, losses and expenses (including reasonable legal fees and costs) arising out of or related to:
- Your participation in the Program.
- Your breach of this Agreement or of any applicable law or regulation.
- Any negligence, misrepresentation, failure to disclose, or intentional misconduct by you.
11. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Belgium.
Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Namur, Belgium, without regard to conflict-of-law rules.
12. Electronic Signatures
This Agreement is an electronic contract that sets out the legally binding terms of your participation in the Sit Down! Games Affiliate Program.
You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced herein by completing the Sit Down! Games affiliate application process. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.
